1. Acceptance of Terms
Welcome to FengeAssist.
These Terms of Service ("Terms") govern your access to and use of the FengeAssist platform, including its websites, applications, dashboards, APIs and related services (collectively, the "Services").
By registering an account, accessing or using the Services, you agree to these Terms.
If you use FengeAssist on behalf of a company or other organisation, you represent that you have authority to accept these Terms on its behalf.
If you do not agree, you must not use the Services.
2. Description of Services
FengeAssist provides cloud-based business operations and logistics management tools, which may include:
- Job creation, scheduling, allocation and management.
- Vehicle location tracking and fleet visibility.
- Dispatch and route management.
- Employee and team coordination.
- Customer and operational record management.
- Business reporting and analytics.
- Notifications and communications.
- Integrations with third-party systems.
Available features may vary according to subscription, account configuration, geographic location and product availability.
FengeAssist may introduce, improve, replace or discontinue features, subject to applicable law and any contractual commitments.
3. Account Registration and Security
Users must provide accurate and current registration information.
You are responsible for maintaining the confidentiality of your account credentials and for activities performed using your account, except where responsibility cannot lawfully be imposed on you.
You must notify FengeAssist promptly if you suspect unauthorised access or a security breach.
An organisation's administrator is responsible for managing access permissions for its authorised users.
FengeAssist may require additional identity verification or authentication measures to protect accounts.
4. Permitted Use
You may use the Services for lawful business purposes in accordance with these Terms.
You must not:
- Use the Services for unlawful tracking, surveillance, harassment or other prohibited activities.
- Access another user's or organisation's information without authorisation.
- Introduce malicious software or interfere with the Services.
- Attempt to bypass security or access controls.
- Reverse engineer the Services except where permitted by applicable law.
- Use the Services to infringe intellectual property or privacy rights.
- Provide false or misleading information or impersonate another person.
You are responsible for ensuring your business use of the Services complies with applicable laws.
5. Vehicle and Location Tracking
Certain features may collect or process GPS location data from vehicles, devices or users.
Organisations using these features are responsible for:
- Providing legally required notices to drivers, employees and other affected individuals.
- Obtaining consent where required.
- Complying with workplace surveillance, employment, privacy and location-tracking laws.
- Ensuring tracking devices and applications are installed and used lawfully.
- Configuring tracking access and retention appropriately.
FengeAssist provides the technical tools but does not independently establish whether an organisation is legally authorised to track a particular individual or vehicle.
GPS positions, estimated arrival times, route information and related data may be inaccurate or delayed due to signal conditions, device configuration, network availability and other factors.
The Services must not be relied upon as the sole means of navigation, emergency response or safety-critical decision-making.
6. Customer Data and Ownership
You retain ownership of the information and records you or your authorised users submit to the Services ("Customer Data").
You grant FengeAssist a limited right to host, process, transmit, back up and otherwise use Customer Data as reasonably necessary to provide, secure, maintain and support the Services, in accordance with these Terms, the Privacy Policy and applicable agreements.
You are responsible for the accuracy, lawfulness and appropriate collection of Customer Data.
FengeAssist does not acquire ownership of your business records merely because they are stored on the platform.
7. Subscription Plans and Payments
Certain features may require a paid subscription.
Where applicable:
- Subscription fees and billing intervals will be disclosed before purchase.
- Recurring subscriptions will renew according to the terms presented at checkout.
- Applicable taxes may be added as required by law.
- Subscription changes, cancellation rules and any applicable refund conditions will be disclosed in the relevant plan terms.
- Access to paid features may be restricted following non-payment, subject to required notice and applicable law.
FengeAssist may change subscription prices prospectively with appropriate notice.
Nothing in these Terms excludes statutory refund, cancellation or consumer rights that cannot lawfully be excluded.
8. Service Availability and Maintenance
FengeAssist aims to provide reliable and secure Services.
However, uninterrupted or error-free availability is not guaranteed.
Service interruptions may arise from maintenance, network failures, third-party services, device issues, cyber incidents or circumstances beyond reasonable control.
Where reasonably practicable, FengeAssist will provide advance notice of significant planned maintenance.
Any specific uptime or service-level commitments must be set out in a separate agreement.
9. Third-Party Services
The platform may integrate with external services, including mapping, communications, authentication, payment and hosting providers.
These services may be subject to their own terms and privacy policies.
FengeAssist is not responsible for independent third-party services beyond its obligations under applicable law or any express contractual commitments.
10. Intellectual Property
The FengeAssist software, interfaces, trademarks, branding, documentation and underlying technology remain the property of FengeAssist or its licensors.
Subject to these Terms and payment of applicable fees, you receive a limited, non-exclusive, non-transferable right to use the Services for your authorised purposes.
You must not reproduce or commercially exploit FengeAssist intellectual property without permission, except as permitted by law.
11. Suspension and Termination
FengeAssist may suspend or terminate access where reasonably necessary because of:
- Material breaches of these Terms.
- Fraudulent, unlawful or abusive activity.
- Significant security risks.
- Non-payment of applicable fees.
- Legal or regulatory requirements.
Where appropriate and reasonably practicable, FengeAssist will provide notice and an opportunity to remedy the issue.
You may stop using the Services and request account closure, subject to outstanding obligations and applicable subscription terms.
12. Data Export and Deletion
Following account termination, FengeAssist will handle Customer Data according to its published retention practices, Privacy Policy and any applicable data processing agreement.
Where available, data export options may be provided before deletion.
Certain information may be retained where necessary for legal compliance, dispute resolution, security or legitimate recordkeeping.
13. Disclaimers
To the extent permitted by applicable law, the Services are provided on an "as available" basis.
FengeAssist does not warrant that GPS information, routing estimates, job records, third-party integrations or automated outputs will always be complete, accurate or available.
Nothing in these Terms excludes guarantees, warranties or remedies that cannot lawfully be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, FengeAssist will not be liable for indirect or consequential losses arising from use of the Services, except where such liability cannot lawfully be excluded.
Any agreed monetary liability cap must be stated in the applicable subscription agreement or other contractual terms.
This section does not limit liability that cannot legally be limited, including applicable statutory rights.
15. Changes to These Terms
FengeAssist may update these Terms to reflect changes in law, technology, business practices or the Services.
Material changes will be communicated through reasonable means, which may include email or an in-platform notification.
Where required by law, additional consent will be obtained before changes take effect.
16. Governing Law and Disputes
